1. Introduction
These Terms and Conditions ("Terms") govern the sale and delivery of to-go containers, bags and other one-use products ("Products") by To-Go Take-Out ("we", "us", "our", the “Company”) to our customers ("you", "your"). By placing an order with us, you agree to be bound by these Terms.
2. Order Process
To place an order for our Products, you must provide us with your specific requirements, including but not limited to dimensions, materials, and quantities. We will then provide you with a sample of the Product that meets your specifications. You are required to confirm the accuracy of the sample by verifying all measurements and other relevant details. By confirming the accuracy of the sample, you agree that the Product matches your requirements and specifications.
The final Product may differ slightly in coloration or size due to manufacturing variations.
We will provide the total price for the order at the time of placement, including relevant taxes and delivery costs (the “Purchase Price”).
3. Payment
All payments of the Purchase Price must be made in U.S. Dollars in the form of check, bank transfer, or credit card. Payments shall be sent as specified on the order. The Purchase Price must be paid in full before any deliveries will be made, unless otherwise agreed to in writing by both parties.
Unless otherwise specified, in the event that an agreement is made for partial payments over time, interest on past due balances is eighteen percent (18%) per annum or one and one-half percent (1.5%) per month. You shall be responsible for all costs and expenses incurred by the Company to collect any past-due balance, including attorney’s fees. You assume all risk for payments sent by mail or other delivery service.
4. Delivery
We will deliver the Products to the address specified by you at the time of order placement. It is your responsibility to provide accurate and complete delivery information.
5. Changes and Cancellations
If you need to make changes to your order or cancel it, you must notify us via phone at 1-303-900-2366 or via email at sriswargadwari@gmail.com as soon as possible. Any changes or cancellations are subject to our approval and may result in additional costs or delays. We reserve the right to refuse changes or cancellations if the production process has already begun.
6. Return Policy
Upon delivery, you must inspect the Products to ensure that they conform to the sample you confirmed. If the delivered Products match the sample, you are obliged to accept the Products.
We do not offer refunds or accept returns for Products that match the specifications of the confirmed sample.
For non-custom non-conforming Product, we will replace the Product with conforming Product within a reasonable time based on the limitations of our suppliers.
For delivery delays or shipment issues that occur for reasons within our control, we will provide expedited shipping or a partial refund based on the severity of the delay.
For non-conforming goods, we will provide a replacement or partial refund.
For non-conforming custom goods that meet the specifications but vary slightly in color or size due to manufacturing variations, the goods will be replaced only if the variations render the Product unusable for the intended purpose.
For packaging or labelling errors on non-conforming custom goods, we will provide replacement packaging or labeling at no additional cost.
For non-conforming custom goods resulting from incorrect information provided by our sales representatives, we will offer replacement or refund as appropriate.
7. Limitation of Liability
To the extent permitted by law, our liability for any loss or damage arising out of or in connection with the sale and delivery of our Products shall be limited to the purchase price of the relevant Products. We shall not be liable for any indirect, consequential, or special damages, or any loss of profits, business, or goodwill.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of The State of Colorado. Any disputes arising out of or in connection with these
Terms shall be subject to the exclusive jurisdiction of the courts of The State of Colorado.
9. Disclaimer
Except as provided in these Terms, each party disclaims all representations or warranties of any kind, express or implied, including without limitation the warranties of merchantability, fitness for a particular purpose, title, and noninfringement.
10. Changes to Terms
We reserve the right to amend these Terms at any time. Any changes will be effective upon posting on our website. Your continued use of our services following such changes constitutes your acceptance of the revised Terms.
